Terms of Service for North Harbour Record Studio

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, websites, booking systems, communications, and related offerings provided by North Harbour Record Studio (“North Harbour Record Studio,” “we,” “us,” or “our”), located at 245 Granville Street, Suite 408, Vancouver, BC V6C 1T2, Canada.
By booking a session, entering our premises, using our equipment, engaging our services, or otherwise interacting with North Harbour Record Studio, you agree to be bound by these Terms and all applicable laws in Canada, including applicable federal and provincial laws in British Columbia. If you do not agree to these Terms, you must not use our services.
If you are using our services on behalf of a business, group, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Scope of Services
North Harbour Record Studio provides professional audio production services, which may include, without limitation:
- Music recording sessions;
- Vocal tracking and comping;
- Mixing and mastering;
- Podcast recording and editing;
- Voice-over recording; and
- Beat production support.
The exact scope of services for each booking will be determined by the session details, written quote, invoice, booking confirmation, or other written communication from North Harbour Record Studio. We may decline, suspend, or terminate any project or session at our discretion where necessary for safety, legality, technical feasibility, or professional standards.
Unless expressly agreed in writing, we do not guarantee any particular artistic, commercial, or technical outcome, including chart performance, distribution acceptance, broadcast acceptance, or monetization.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when booking or communicating with us;
- Arrive on time for scheduled sessions and comply with all studio rules, safety instructions, and staff directions;
- Ensure that any content, lyrics, samples, recordings, or materials you provide do not infringe the rights of any third party and do not violate any law;
- Obtain all necessary permissions, licenses, releases, and consents for any performers, collaborators, samples, beats, compositions, or other materials you bring to the studio;
- Not bring illegal substances, weapons, hazardous materials, or any prohibited items onto the premises;
- Not engage in abusive, disruptive, harassing, discriminatory, or unsafe conduct;
- Use studio equipment only as instructed and exercise reasonable care to avoid damage;
- Promptly notify us of any technical issues, injuries, damage, or concerns during a session; and
- Comply with all applicable laws, including copyright, privacy, defamation, and criminal laws.
You are responsible for backing up your own files and materials. Unless otherwise agreed in writing, North Harbour Record Studio is not responsible for retaining project files, raw recordings, stems, or session data beyond our standard retention practices.
If you damage studio property, equipment, or third-party property, you may be liable for repair or replacement costs, subject to applicable law.
4. Payment Terms and Conditions
Fees for services will be communicated in advance through a quote, rate card, invoice, booking confirmation, or other written notice. Unless otherwise stated, all fees are in Canadian dollars (CAD).
- Deposits: We may require a non-refundable deposit to secure a booking.
- Payment timing: Payment may be required in advance, at the time of service, or upon invoice, as specified for the booking.
- Late payments: Overdue balances may be subject to late fees, interest, collection costs, or service suspension to the extent permitted by law and disclosed in writing.
- Taxes: Applicable taxes, including GST/HST and any other required taxes, will be added where applicable.
- Additional charges: Extra time, revisions, rush work, file transfers, storage, equipment damage, or special requests may incur additional charges.
Unless expressly agreed otherwise in writing, quoted prices do not include third-party costs, such as session musicians, licensing fees, distribution fees, or external mastering, printing, or delivery costs.
We reserve the right to withhold delivery of final files, masters, or project materials until all outstanding amounts are paid in full, to the extent permitted by law.
5. Cancellation and Refund Policy
Session bookings are reserved specifically for you and may limit our ability to serve other clients. Cancellations and rescheduling requests must be made in accordance with the notice period communicated at booking or, if none is stated, as soon as reasonably possible.
- Client cancellations: Deposits may be non-refundable. Cancellations made with insufficient notice may result in cancellation fees or forfeiture of the deposit.
- Rescheduling: Rescheduling is subject to availability and may be treated as a cancellation if requested too close to the session date.
- No-shows: Failure to attend a scheduled session may result in the full session fee being charged.
- Studio cancellations: If we must cancel or reschedule due to illness, equipment failure, safety concerns, or other operational reasons, we will use reasonable efforts to offer a new date or issue a refund for the affected portion of prepaid fees, as appropriate.
Refunds, if any, are issued only where required by law or expressly stated in writing. Completed services, time already used, and custom work performed are generally non-refundable.
6. Liability Limitations
To the fullest extent permitted by applicable law, North Harbour Record Studio, its owners, employees, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of business opportunities, or reputational harm, arising out of or related to your use of our services.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or related to the services will not exceed the amount paid by you to North Harbour Record Studio for the specific service giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded under applicable Canadian law.
You acknowledge that audio production involves inherent risks, including equipment malfunction, file corruption, human error, and artistic interpretation. We do not guarantee uninterrupted service or error-free deliverables.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including studio methods, templates, workflows, software configurations, and proprietary materials used by North Harbour Record Studio, remain our property or the property of our licensors.
You represent and warrant that you own or have the necessary rights to all content, recordings, compositions, lyrics, samples, artwork, and other materials you provide to us. You are solely responsible for securing any required permissions, licenses, and releases.
Ownership of final recordings, mixes, masters, stems, or project files will be determined by the applicable written agreement, invoice terms, or project confirmation. If no written transfer of ownership is provided, North Harbour Record Studio retains ownership of its pre-existing materials and any rights not expressly assigned.
Unless otherwise agreed in writing, we may retain the right to display non-confidential excerpts, credits, or portfolio samples of completed work for promotional purposes, provided such use does not violate any confidentiality obligation or applicable law.
You grant North Harbour Record Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and store your submitted materials solely as necessary to provide the services and maintain internal records, subject to our privacy obligations.
8. Data Protection and Privacy
North Harbour Record Studio collects, uses, discloses, and stores personal information only as reasonably necessary to provide our services, manage bookings, process payments, communicate with clients, maintain records, and comply with legal obligations.
We take reasonable administrative, technical, and physical safeguards to protect personal information against unauthorized access, use, disclosure, alteration, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We may share personal information with service providers, payment processors, accountants, legal advisors, or other third parties where necessary to operate our business or comply with law, subject to appropriate confidentiality and data protection obligations.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice we may provide. Where required, we will seek additional consent.
If you provide personal information about another person, you represent that you have the authority or consent to do so.
9. Force Majeure
North Harbour Record Studio will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, power outages, internet outages, labour disputes, governmental actions, public health emergencies, war, terrorism, civil unrest, equipment shortages, or supply chain disruptions.
In the event of force majeure, we may suspend, reschedule, or cancel affected services without liability, except for obligations that cannot be lawfully excluded. We will make reasonable efforts to notify you and to resume services as soon as practicable.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The revised Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.
Your continued use of North Harbour Record Studio services after any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute arising out of or relating to these Terms or our services will be brought exclusively in the courts located in Vancouver, British Columbia, Canada, unless applicable law requires otherwise.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, it will be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent.
